Giles J Kennedy & Co., Solicitors advise on all aspects of company law.   Company law is a complex and highly codified area of law which applies to small one shareholder companies to large corporations alike.   The company is a distinct and legal entity separate from its promoters and / or directors.    Accordingly all parties must be cognizant of their obligations and responsibilities both in terms of corporate government and company law compliance.

We provide advice on general administration to include company incorporation, shareholders agreements, transactions with connected parties and filing of documentation with the Companies Registration Office.   We can guide and assist with the preparation for and holding of annual general meetings and extraordinary general meetings.

We also act in contentious matters such as disputes between shareholders, Section 205 proceedings (disputes by minority shareholders) and Section 150 and 160 proceedings (application for disqualification).    As a general practice we bring our experience from other areas of both law and business to assist and structure our advices to a Client’s particular needs.

In addition we can advise on both restructuring to include take overs and examinership and on the closure of the company namely liquidation and dissolution.
